Terms of Service

1. Agreement
These Terms of Service govern access to and use of the PiTech AI Governance Advisor ("the Platform"), operated by PiTech Solutions ("PiTech"), 4000 Sancar Way, Suite 205, Durham, NC 27709. By accessing the Platform you agree to these terms on behalf of yourself and the organization you represent. If a signed consulting or services agreement exists between PiTech and your organization, that agreement controls in the event of a conflict with these terms.
2. Invite-only access and accounts
The Platform is invite-only. Accounts are issued by PiTech or by an authorized administrator of your organization; self-registration is disabled. You must provide accurate information, keep your credentials confidential, use the Platform only for your organization's internal business purposes, and notify PiTech promptly of any unauthorized access. You are responsible for activity that occurs under your account.
3. Permitted use
You agree not to:
- access data belonging to another organization, or attempt to bypass role-based access controls;
- probe, scan, disrupt, or reverse engineer the Platform or its underlying services;
- upload unlawful, infringing, or malicious content, or sensitive personal data not required by the assessment;
- resell, sublicense, or provide access to the Platform or its deliverables to third parties as a commercial service;
- use the Platform to develop a competing product or to train machine learning models.
4. The assessment and its deliverables
The Platform scores a 100-question self-assessment across eight governance domains on a 400-point scale and generates a maturity report, improvement roadmap, regulatory impact analysis, and a draft AI Acceptable Use Policy. Results depend entirely on the accuracy and completeness of the answers you provide. The assessment is a self-reported starting point, not an audit, certification, penetration test, or independent verification of your controls.
5. Not legal or compliance advice
All content produced by the Platform, including the maturity report, roadmap, regulatory mapping, and the draft AI Acceptable Use Policy, is provided for informational purposes and is not legal, regulatory, audit, or professional advice, and does not create an attorney-client relationship. Deliverables must be reviewed and adapted by qualified legal counsel and appropriate internal stakeholders before adoption or reliance. PiTech does not warrant that using the Platform or its outputs will achieve or demonstrate compliance with any law, regulation, or framework.
6. AI-generated content
Portions of the deliverables are drafted using third-party artificial intelligence services. AI-generated text can be incomplete, outdated, or incorrect. You are responsible for reviewing and verifying all output before using it, publishing it, or acting on it.
7. Your data and ownership
Your organization retains ownership of the information it submits. You grant PiTech the rights necessary to host, process, and analyze that information in order to operate the Platform and deliver your results, as described in the Privacy Policy. PiTech and its licensors retain all rights in the Platform, the assessment methodology, question set, scoring model, and policy master framework. Deliverables generated for your organization may be used internally by your organization without restriction; the underlying methodology and templates may not be redistributed or resold.
8. Confidentiality
Assessment inputs and deliverables are confidential. PiTech will treat your organization's assessment data as confidential information and will not disclose it except as described in the Privacy Policy or as required by law. Reports are marked confidential and are prepared exclusively for the named organization.
9. Availability and changes
The Platform is provided on an as-available basis. PiTech may modify, suspend, or discontinue features, and may suspend or terminate access for violation of these terms, for security reasons, or upon conclusion of the engagement. Administrators may archive or permanently delete assessments; permanent deletion cannot be reversed.
10. Disclaimers
The Platform and all deliverables are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. PiTech does not warrant that the Platform will be uninterrupted or error-free.
11. Limitation of liability
To the maximum extent permitted by law, PiTech will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from use of the Platform or reliance on its outputs. PiTech's total aggregate liability arising out of or relating to the Platform will not exceed the amounts paid by your organization to PiTech for the Platform in the twelve months preceding the claim, or one hundred U.S. dollars if no amounts were paid.
12. General disclaimer and no advisory relationship
Nothing on this website or in the Platform constitutes legal, regulatory, compliance, audit, accounting, financial, investment, tax, insurance, medical, clinical, or other professional advice, and no advisory, fiduciary, or attorney-client relationship is created by your access to or use of the Platform, by completing an assessment, or by receiving a report or draft policy. All content, scores, maturity tiers, roadmaps, regulatory mappings, and draft policy language are general informational materials that have not been prepared for your specific facts, contracts, jurisdictions, or workforce agreements. References to laws, regulations, and frameworks are illustrative, may be incomplete or out of date, and are not a determination of your legal obligations or of your compliance status. You remain solely responsible for obtaining qualified professional advice and for all decisions your organization makes, and you agree that you do not rely on PiTech for such advice.
13. Indemnification
You agree to defend, indemnify, and hold harmless PiTech Solutions and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, demands, actions, investigations, losses, liabilities, damages, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- your organization's use of the Platform or of any report, roadmap, or draft policy generated by it, including adoption, publication, or enforcement of such content;
- your reliance on Platform output without independent legal, regulatory, or professional review;
- the accuracy, completeness, or lawfulness of information you submit, including any personal or sensitive data entered in error;
- your breach of these terms or of any applicable law, regulation, or third-party right;
- unauthorized access or activity occurring under your account or credentials.
PiTech will provide reasonable notice of any claim for which it seeks indemnification and may participate in the defense at its own expense. No settlement that imposes obligations or admissions on PiTech may be made without its written consent. This section survives termination of your access to the Platform.
14. Governing law
These terms are governed by the laws of the State of North Carolina, United States, excluding its conflict-of-laws rules. The state and federal courts located in Durham County, North Carolina have exclusive jurisdiction over any dispute, and each party consents to that jurisdiction and venue.
